Terms of Sale

These Terms of Sale ("Terms") govern your purchase of digital toolkits ("Toolkits") from Tavren, a trading name of VBCJ Solutions Ltd ("Tavren", "we", "us"). By completing a purchase you agree to these Terms.

1. Our relationship with Lemon Squeezy

Our payments are processed by Lemon Squeezy, which acts as our authorised reseller and Merchant of Record. This means Lemon Squeezy handles the payment transaction, billing, applicable sales taxes and the payment-level refund and chargeback mechanism. Lemon Squeezy's own terms and refund/dispute policy apply to those matters at the point of payment. These Terms govern the Toolkit itself and your relationship with Tavren, and are intended to be consistent with — and not to override — Lemon Squeezy's Merchant-of-Record terms. Where the two address the same payment-level matter, the Merchant-of-Record terms prevail.

2. What you are buying

Each Toolkit is a digital product consisting of structured prompts and supporting material, supplied as a digital download. Toolkits are delivered electronically and are intended to be used in your own third-party AI tool. There is no physical product and no shipment.

3. Delivery and access

Access to your Toolkit is provided immediately, or as soon as reasonably possible, after your payment is confirmed, via the download method shown at checkout and/or by email. It is your responsibility to provide a valid email address and to download and retain your copy.

4. Licence, Eligibility, and Permitted Use

By purchasing a Toolkit, you warrant and represent to us that you are acting wholly in the course of your trade, business, craft, or profession, and that you are purchasing the Toolkit for use within a single business entity, for that business's internal purposes only ("Permitted Use").

You may use the Toolkit and its prompts internally as many times as you wish for your own business operations. You may not: resell, redistribute, sublicense, publish, share, or otherwise make the Toolkit or its prompts available to any third party, group company, or to the public; nor use it to create a competing commercial product. The Toolkit is licensed, not sold, to you. All rights not expressly granted are reserved strictly by Tavren.

5. Intellectual property

All intellectual property rights in the Toolkits — including the prompts, structure, sequence, text, formulas, and visual design — are and remain the sole property of Tavren / VBCJ Solutions Ltd. Nothing in these Terms transfers ownership or assigns any proprietary rights to you.

6. Immediate access and absence of consumer cancellation rights

Because Toolkits are digital content supplied immediately on purchase, by completing your purchase you explicitly request and consent to immediate delivery. As a business purchaser, you acknowledge and agree that statutory consumer cooling-off or cancellation rights (including those under the Consumer Contracts Regulations 2013) do not apply to this transaction. All sales are final once access or download has begun.

7. Refunds and support

Toolkits are digital goods delivered instantly. Consistent with this, and with Lemon Squeezy's Merchant-of-Record refund and dispute policy, sales are final and we do not offer discretionary refunds on digital downloads. We do not offer partial or percentage refunds.

What we do offer is genuine support. If a Toolkit isn't working for your specific use case, email contact@tavrensolutions.com and we will work with you to help your team get maximum value from it. The free starter toolkit is provided precisely so you can fully assess the format, structure, and system compatibility before making a financial purchase.

8. No warranty and fitness for purpose

Toolkits are decision-support aids. They are designed to help your team prepare and structure its own work; they do not make operational or strategic decisions for you. Any output produced using a Toolkit must be independently reviewed, verified, and exercised with professional judgement by competent members of your team before it is relied upon or acted on.

To the fullest extent permitted by law, Toolkits are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of satisfactory quality, merchantability, or fitness for a particular purpose. We do not warrant that a Toolkit will meet your specific technical requirements, achieve any particular corporate outcome, or be completely error-free. We give no guarantee of any specific result, cost saving, project outcome, or upgrade success. We accept no responsibility or liability for performance variations, failures, or output degradation caused by updates, modifications, or deprecations made by third-party AI model providers to their respective engines.

9. Limitation of liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so under English law (including for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation). Subject to that, and to the fullest extent permitted by law:

(a) we are not liable for any indirect, consequential, special, or incidental loss, or for loss of profit, revenue, business interruption, corruption of data, loss of goodwill, or anticipated savings; and

(b) our total aggregate liability arising out of or in connection with a Toolkit, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the amount you actually paid to our Merchant of Record for that specific Toolkit.

10. Your data

Toolkits are structured prompts you run entirely within your own chosen third-party AI environment. You stay in full control of what you choose to share. Tavren never sees, stores, or receives your company data or prompt inputs in connection with your use of a Toolkit. How any third-party AI tool you choose to use handles your data is governed strictly by that provider's own terms and privacy practices, not ours.

11. Governing law and jurisdiction

These Terms, and any dispute arising out of or in connection with them (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute.
